1. Commitment to Quality & Trust

At Einsys, operated by UNT GmbH (“Company,” “we,” “our,” or “us”), our priority is to facilitate a seamless, reliable, and efficient digital infrastructure where businesses can connect, collaborate, and transact with confidence. Our platform is designed to empower users by providing access to high-quality suppliers, service providers, and buyers who adhere to industry best practices and ethical business conduct.

We actively encourage transparency, responsible trade practices, and professionalism, and we provide tools to help users make informed decisions when engaging with business partners. However, Einsys operates as a neutral, intermediary platform, meaning that while we enable and enhance these business interactions, we do not assume control over or direct involvement in any transactions conducted between users.

By using Einsys, you acknowledge that you are solely responsible for evaluating, vetting, and verifying the integrity, reliability, and compliance of any business partners you choose to engage with on the platform. We provide the tools—your business decisions remain your responsibility.

2. Platform Role & Limited Liability
2.1 Neutral Platform

Einsys functions exclusively as a technological facilitator designed to optimize procurement, invoicing, and tendering operations. Our role is limited to providing access to a suite of integrated tools that enable businesses to streamline operations—nothing more, nothing less. We do not engage in, oversee, regulate, or interfere with individual transactions, nor do we validate, verify, or mediate user engagements.

2.2 User Autonomy & Accountability

Users of Einsys operate independently and at their own discretion. It is entirely at the user’s initiative, risk, and judgment to engage in transactions, negotiations, and contractual agreements with other businesses found on the platform. Einsys does not evaluate the legal, financial, or operational status of any user and does not make recommendations regarding counterparties. Users assume full responsibility for due diligence, contract negotiation, and enforcement.

Einsys shall not be held liable for any misrepresentation, non-performance, payment disputes, service deficiencies, or contractual breaches that arise between users. We are not an escrow service, financial intermediary, or regulatory body, and we do not intervene in disputes.

3. User Accounts & Responsibilities
3.1 Registration & Access

Users must register for an account and provide accurate, verifiable business information. It is the sole responsibility of the user to ensure that credentials remain secure and that platform access is restricted to authorized personnel only.

3.2 Compliance with Laws & Regulations

Users must adhere to all applicable local, national, and international laws governing their business activities. Einsys does not monitor compliance, nor does it assume liability for regulatory infractions committed by users.

3.3 Due Diligence Requirement

Users are explicitly encouraged to conduct comprehensive vetting, background checks, and contractual due diligence before engaging in any transaction. Einsys provides no guarantees, warranties, or endorsements regarding any business entity listed on the platform. Transactions conducted without proper verification are at the sole risk of the user.

4. Transactions & Financial Interactions
4.1 Independent Agreements

All transactions conducted through Einsys are strictly between the involved parties. Einsys does not act as a party, guarantor, negotiator, or financial intermediary in any transaction. The platform does not process, approve, or facilitate payments, which are handled exclusively through third-party payment processors such as Stripe.

4.2 No Responsibility for Financial Disputes

Einsys bears no liability for:

Unfulfilled contractual obligations, non-payment, or misrepresentation by any party.

Chargebacks, financial losses, or delays in payment.

Refunds, fraudulent transactions, or settlement of disputes.

Users are expected to resolve financial disputes independently. Einsys does not intervene in user disputes, nor do we enforce contract compliance.

5. Dispute Resolution & No Platform Involvement
5.1 User-Managed Dispute Resolution

Einsys does not participate in or facilitate any mediation, arbitration, or legal proceedings concerning disputes between users. Any claims, disagreements, or legal actions must be pursued directly between the involved parties.

5.2 Reporting & Limited Platform Enforcement

While Einsys does not regulate business interactions, users may report accounts engaged in fraudulent, misleading, or unethical practices. Einsys reserves the right to investigate reports and, at its sole discretion, may restrict, suspend, or terminate accounts that violate platform policies. However, Einsys has no obligation to take corrective action or provide dispute resolution assistance.

6. Platform Limitations & Disclaimers
6.1 No Warranty or Endorsement

Einsys is provided on an “as-is” and “as-available” basis, with no representations or guarantees regarding uninterrupted access, uptime reliability, or merchantability. Users assume all risks associated with the use of the platform and the parties they choose to engage with.

6.2 Limitation of Liability

To the fullest extent permitted by law, Einsys and UNT GmbH shall not be liable for:

Indirect, consequential, or incidental damages resulting from platform use.

Loss of business, reputational harm, or economic losses related to transactions.

Security breaches, unauthorized access, or data losses.

6.3 Indemnification

Users agree to indemnify, defend, and hold harmless Einsys and UNT GmbH against any claims, liabilities, damages, or legal actions resulting from their business interactions or use of the platform.

7. Governing Law & Legal Jurisdiction

These Terms are governed by the laws of Germany (EU jurisdiction). Any legal disputes arising from platform use shall be resolved in the courts of Düsseldorf, Germany, unless otherwise agreed upon.

By using Einsys, you acknowledge and agree to these Terms & Conditions. If you do not accept them, you must discontinue platform use immediately.
