1. Introduction
These Terms and Conditions govern access to and use of Einsys, including the Einsys website, marketplace, account areas, communication tools, operational tools, supplier and customer records, workspaces, listings, requests, offers, scheduling, documents, approvals, and related services.
By creating an account, accessing Einsys, publishing information, contacting another user, sending or receiving an offer, or using any part of the platform, you agree to these Terms and Conditions.
If you use Einsys on behalf of a company or other organisation, you confirm that you are authorised to accept these terms on behalf of that organisation.
2. About Einsys
Einsys provides a business platform and marketplace that helps companies publish requirements, discover opportunities, contact other businesses, manage operational work, exchange information, and organise business processes.
Einsys is a platform provider. Unless expressly agreed in writing, Einsys is not a buyer, seller, broker, freight forwarder, agent, payment provider, escrow provider, insurer, guarantor, or party to any transaction or agreement made between users.
All deals, contracts, negotiations, payments, deliveries, services, warranties, claims, and disputes are between the users involved.
3. Account Registration and Account Security
You must provide accurate and current information when creating and using an Einsys account.
You are responsible for:
- keeping your login details secure;
- controlling who has access to your company account;
- ensuring that users act with proper authority;
- keeping company, billing, contact, bank, tax, and operational information accurate;
- notifying Einsys if you believe your account has been accessed without authorisation.
Einsys may suspend or restrict access if we reasonably believe an account is being misused, used unlawfully, used in breach of these terms, or used in a way that creates risk for Einsys or other users.
4. Marketplace Role and User Responsibility
Einsys may allow users to publish requests, offers, listings, availability, prices, descriptions, documents, contact information, and other business information.
Users are solely responsible for the information they publish and the decisions they make based on information available through Einsys.
Einsys does not guarantee:
- that any user is reliable, solvent, authorised, licensed, insured, or legally able to perform;
- that any listing, request, offer, price, document, product, service, stock, availability, delivery time, payment information, or company information is accurate or complete;
- that a transaction will be completed;
- that goods or services will meet any specific standard;
- that payments will be made;
- that bank details or payment instructions are correct.
Users must perform their own due diligence before entering into any transaction. This includes verifying company identity, legal status, VAT/tax details, licences, insurance, product authenticity, service capability, payment terms, bank details, delivery terms, and any other information that matters to the transaction.
If bank details or payment instructions are provided through Einsys or by another user, you are responsible for independently verifying those details before making payment. Einsys is not responsible for losses caused by incorrect, fraudulent, intercepted, or changed payment details.
5. User Content, Listings, and Documents
You are responsible for all content you upload, publish, send, or make available through Einsys, including listings, messages, documents, descriptions, product information, images, logos, files, prices, bids, offers, comments, and contact details.
You must ensure that your content:
- is accurate and not misleading;
- does not infringe intellectual property rights;
- does not contain confidential information you are not authorised to share;
- does not contain unlawful, fraudulent, harmful, abusive, defamatory, or deceptive material;
- does not advertise illegal goods, illegal services, counterfeit goods, stolen goods, or goods or services you are not authorised to supply;
- complies with applicable laws, regulations, sanctions, export controls, tax rules, consumer protection rules, and industry requirements.
Einsys may remove, hide, restrict, or edit access to content if we believe it may be unlawful, misleading, harmful, infringing, reported by a rights owner, or in breach of these terms.
6. Illegal Content and Reporting
Einsys does not allow illegal content, illegal listings, counterfeit products, fraudulent offers, misleading requests, intellectual property violations, or abusive use of the platform.
If you believe that content on Einsys is illegal, infringes your rights, is fraudulent, or violates these terms, please report it to:

Your report should include:
- your name and contact details;
- the URL, listing, user, workspace, message, or content being reported;
- a clear explanation of the issue;
- any evidence supporting the report;
- if reporting intellectual property infringement, details of the rights you own or are authorised to enforce.
Einsys will review reports and may remove or restrict content, suspend users, request further information, or take other appropriate action. Where content is clearly illegal or creates immediate risk, Einsys may remove it as soon as we become aware of it.
7. Intellectual Property
You must not upload, publish, sell, offer, or use content that infringes the intellectual property rights of others.
You may refer to brand names, product names, or company names only where you are legally allowed to do so and where the reference is accurate and not misleading.
You must not suggest that you are an authorised reseller, distributor, agent, partner, or representative of another company unless you are authorised to make that claim.
You must not use another company's logos, images, text, documents, product photos, manuals, trademarks, or copyrighted material unless you have permission or a legal right to do so.
By uploading content to Einsys, you grant Einsys a limited right to host, display, process, transmit, and use that content as necessary to provide the platform and related services.
8. Prohibited Use
You must not use Einsys to:
- commit fraud or misrepresentation;
- publish illegal, counterfeit, stolen, unsafe, or unauthorised goods or services;
- infringe intellectual property or privacy rights;
- send spam, malware, phishing content, or harmful code;
- scrape, overload, reverse engineer, or attack the platform;
- bypass access controls or security features;
- impersonate another person or company;
- collect user data without permission;
- interfere with another user's use of the platform;
- use the platform for unlawful, sanctioned, or restricted transactions.
Einsys may suspend or terminate accounts that violate these restrictions.
9. User Transactions and Disputes
Any agreement made between users is solely between those users.
Users are responsible for agreeing and managing:
- prices;
- specifications;
- delivery or performance terms;
- payment terms;
- taxes;
- warranties;
- cancellations;
- refunds;
- returns;
- insurance;
- service levels;
- compliance obligations;
- dispute resolution.
Einsys is not responsible for user disputes and is not required to mediate, investigate, enforce, or resolve disputes between users.
Einsys may, at its discretion, provide account records or platform information where appropriate and legally permitted, but this does not make Einsys a party to the transaction.
10. Payments, Taxes, and Bank Details
Unless Einsys expressly provides a paid service directly to you, payments between users are handled outside Einsys or through arrangements made by the users.
Users are responsible for:
- verifying payment instructions;
- confirming bank details directly with the other party through trusted channels;
- issuing invoices and purchase orders;
- paying applicable taxes;
- complying with accounting and reporting obligations;
- checking for fraud, impersonation, or payment redirection.
Einsys is not liable for losses caused by user payment disputes, incorrect bank details, payment fraud, chargebacks, unpaid invoices, tax errors, or failed transactions between users.
11. Platform Tools and Operational Features
Einsys may include tools for workspaces, tasks, scheduling, inventory, procurement, invoicing, approvals, documents, contacts, marketplace activity, reporting, and related workflows.
These tools are provided to help users organise business activity. Users remain responsible for checking records, approvals, documents, deadlines, assignments, invoices, purchase orders, payments, stock information, and business decisions.
Einsys does not guarantee that platform outputs, calculations, statuses, reminders, automations, reports, or suggestions are complete, error-free, or suitable for every business purpose.
12. AI and Automation Features
Einsys may include AI, automation, Copilot, or assistant features. These features may help draft, summarise, classify, search, recommend, or prepare actions.
AI and automation outputs may be incomplete, inaccurate, or unsuitable. Users must review and approve important actions before relying on them.
AI outputs are not legal, financial, tax, accounting, compliance, procurement, logistics, engineering, or professional advice.
13. Fees and Paid Services
Some Einsys features may be free, complimentary, trial-based, or paid. Pricing, access levels, and feature availability may change.
Where paid services apply, you agree to pay applicable fees and taxes according to the terms presented at the time of purchase or subscription.
Einsys may suspend access to paid services for non-payment.
14. Availability and Changes to the Platform
Einsys aims to keep the platform available and useful, but we do not guarantee uninterrupted or error-free operation.
We may update, change, suspend, or discontinue features for operational, security, legal, commercial, or technical reasons.
We may perform maintenance or restrict access where needed to protect the platform or users.
15. Privacy
Use of personal data is governed by the Einsys Privacy Policy, available at:
By using Einsys, you agree that personal data may be processed according to the Privacy Policy.
16. Confidentiality
Users may exchange business information through Einsys. You are responsible for deciding what information you share and with whom.
You must not misuse confidential information received from another user.
Einsys is not responsible for a user sharing confidential information with the wrong party, publishing sensitive information, or failing to use appropriate confidentiality agreements.
17. Suspension and Termination
Einsys may suspend, restrict, or terminate access if:
- you breach these terms;
- your account creates legal, security, fraud, or operational risk;
- you publish illegal or infringing content;
- you misuse the marketplace or communication tools;
- required information is inaccurate or missing;
- we are required to do so by law.
You may stop using Einsys at any time. Some records may be retained where required for legal, security, accounting, or operational reasons.
18. Disclaimers
Einsys is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Einsys makes no warranties that:
- the platform will be uninterrupted or error-free;
- all user content is accurate;
- users are trustworthy or solvent;
- transactions will be completed;
- goods or services will meet expectations;
- documents, prices, availability, or payment details are correct;
- the platform will meet every business requirement.
19. Limitation of Liability
To the maximum extent permitted by law, Einsys is not liable for indirect, incidental, consequential, special, punitive, or business losses, including loss of profit, loss of revenue, loss of opportunity, loss of data, business interruption, reputational damage, payment fraud, or losses arising from user transactions.
Einsys is not liable for disputes, contracts, payments, goods, services, deliveries, warranties, claims, or representations between users.
Nothing in these terms limits liability where it cannot legally be limited.
20. Indemnity
You agree to indemnify and hold Einsys harmless from claims, losses, damages, liabilities, costs, and expenses arising from:
- your breach of these terms;
- your content, listings, documents, or communications;
- your transactions with other users;
- your infringement of third-party rights;
- your unlawful or fraudulent use of the platform;
- your failure to verify another user, payment details, goods, services, or transaction terms.
21. Governing Law and Jurisdiction
These terms are governed by the laws of Germany, unless mandatory law requires otherwise.
Where legally permitted, disputes relating to these terms or the use of Einsys shall be handled by the competent courts in Germany.
22. Changes to These Terms
Einsys may update these Terms and Conditions from time to time.
The updated version will be published on the website. Continued use of Einsys after changes are published means you accept the updated terms.
